By accessing, registering for, or using the Xalista web application and related services (the “Service”), you (“User”) agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and VantageLogic LLC (“Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of New Hampshire. If you do not agree to these Terms, you must immediately discontinue all use of the Service.
Description of Service
Xalista is a reseller workflow platform that helps sellers photograph, identify, price, and list items on supported e-commerce platforms. The Service provides the following core functionality:
- Account creation via Google or Facebook OAuth, storing your name and email address as a persistent user identifier.
- Photo capture from your device camera or import from your Google Photos library for use in product listings.
- AI-powered item identification using Google Gemini, followed by AI-assisted listing copy generation using Anthropic Claude, to produce structured listing drafts.
- eBay listing draft creation and submission via the official eBay API, including direct photo upload to eBay’s image hosting infrastructure.
- Market price intelligence suggestions based on recently sold comparable items, sourced through third-party market data services.
- For inventory imported directly from your existing eBay account, images remain hosted on eBay’s infrastructure and are not re-hosted or re-processed by Xalista.
All listings, pricing decisions, and final submissions remain solely within the User’s control and responsibility.
Eligibility
You must be at least 18 years of age to use the Service. By using Xalista, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are not prohibited from using the Service under applicable law.
Platform Compliance & API Access
Third-Party Platform Compliance
Xalista interacts with third-party e-commerce platforms, including eBay. Your use of Xalista is subject to and must comply with the terms of service, seller policies, and community guidelines of each platform you access through the Service. VantageLogic LLC is not responsible for any violations of third-party platform policies arising from your use of the Service.
Account Linking and API Access
By connecting your eBay account to the Service, you authorize Xalista to access your account data and transmit listing drafts to the platform on your behalf via official APIs. You acknowledge that Xalista’s ability to provide these features is contingent upon the third-party platform’s continued provision of API access, and VantageLogic LLC cannot guarantee uninterrupted compatibility. We are not liable for any service interruptions caused by changes to API policies or availability.
Purchases, Tokens & Refunds
Token System
Xalista operates on a token-based model. One (1) token is required to generate a single product listing draft. Tokens may be purchased in tiered packages at the pricing rates published on our website. All payments are processed securely through Lemon Squeezy, our designated third-party payment processor.
Refunds
If you wish to discontinue use of the Service, you may request a refund for any completely unused tokens remaining in your account balance by contacting us at legal@xalista.com. Tokens that have already been redeemed for drafts are strictly non-refundable.
Pricing Suggestions & Market Data
Nature of Pricing Data
Price suggestions provided by Xalista are generated algorithmically based on data sourced through third-party market intelligence services, which aggregate publicly available information from resale platforms including recently sold comparable items. These suggestions are provided for informational and reference purposes only and do not constitute financial or commercial advice.
No Warranty of Accuracy
The Company makes no representation or warranty, express or implied, regarding the accuracy, completeness, or timeliness of any pricing suggestion. Market conditions fluctuate, and past sale prices are not indicative of current or future market value.
User Responsibility
All pricing decisions are made solely at your discretion and risk. VantageLogic LLC shall not be liable for any losses, foregone revenue, buyer disputes, or platform sanctions resulting from pricing decisions made in reliance on Xalista’s suggestions.
Intellectual Property & User Content
Company IP
The Service, including all software, algorithms, interfaces, and branding, is the exclusive property of VantageLogic LLC. Subject to your compliance with these Terms, VantageLogic LLC grants you a limited, non-exclusive, revocable license to access and use the Service solely for your personal reselling activities. You may not copy, reverse engineer, resell, or commercially exploit the underlying Service.
User Content License
By capturing, uploading, or otherwise transmitting images and listing data (“User Content”) through the Service, you grant VantageLogic LLC a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, and use such User Content strictly for the purpose of providing, maintaining, and improving Xalista. You retain all ownership rights to your User Content.
Scope limitation: This license applies only to content actively stored or processed by Xalista. It does not extend to (a) images hosted on eBay’s infrastructure following a listing submission, or (b) images associated with inventory imported from your existing eBay account, which are hosted entirely by eBay. Once a photo is transmitted to eBay as part of a published listing, that image is subject to eBay’s own terms of service. Deletion of your Xalista account does not remove images already published to eBay.
AI Sub-Processor Processing
As part of providing the Service, your photos and listing data are transmitted to third-party AI service providers:
- Google Gemini — receives your product photos to perform item identification and generate structured product attributes.
- Anthropic Claude — receives the structured attributes produced by Gemini to generate listing titles, descriptions, and draft copy.
These providers act as sub-processors under data processing agreements and are prohibited from using your content for any purpose other than delivering their API services to VantageLogic LLC. For the full sub-processor list, see our Privacy Policy.
User Conduct & Prohibited Uses
You agree that you will not use the Service to:
- Create listings for counterfeit, stolen, prohibited, or otherwise illegal goods.
- Engage in price manipulation, fraudulent listings, or any deceptive trade practice.
- Circumvent, disable, or interfere with security or access control features of any third-party platform.
- Introduce malware, viruses, or any harmful code into any system.
- Violate any applicable law, including consumer protection, privacy, or anti-spam laws.
VantageLogic LLC reserves the right to suspend or terminate your access to the Service at its sole discretion for any violation of these Terms.
Privacy & Data
Privacy Policy
Your use of the Service is governed by our Privacy Policy, incorporated herein by reference. By using Xalista, you consent to the collection, use, and disclosure of information as described therein.
Account Authentication
Xalista uses Google and Facebook OAuth for account creation and login. We do not store your Google or Facebook passwords. Upon successful authentication, we receive and persistently store only your name and email address as your user identifier. OAuth session tokens are held in memory during your active session and are not persisted to our database.
Photo Storage and Fallback
Photos you upload or import are processed and, where necessary, stored in our secure cloud infrastructure (Supabase) to support listing creation. In the event that a photo upload to eBay fails during listing submission, the affected photo will be retained in our storage infrastructure until the upload is successfully completed or you delete the associated listing or your account. Failed-upload photos are not used for any purpose other than completing the intended listing submission.
Sub-Processors
Xalista uses the following third-party service providers: Supabase (database and file storage), Vercel (hosting), Google Gemini (AI item identification), Anthropic Claude (AI listing copy generation), Lemon Squeezy (payment processing), and Google Photos Picker API (optional photo import). We do not use your data to train public AI models.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. VantageLogic LLC does not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall VantageLogic LLC, its members, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with these Terms or your use of the Service, even if VantageLogic LLC has been advised of the possibility of such damages.
In no event shall VantageLogic LLC’s total cumulative liability to you for all claims arising out of or related to these Terms or your use of the Service exceed the greater of (a) the total fees paid by you to VantageLogic LLC in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00 USD).
Indemnification
You agree to defend, indemnify, and hold harmless VantageLogic LLC and its members, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any claim that your listings or sale activities caused damage to a third party.
Modifications & Termination
Modifications
VantageLogic LLC reserves the right to modify these Terms at any time. We will notify you of material changes by updating the “Last Updated” date and, where practicable, by sending notice to the email address associated with your account. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
Termination by You
You may terminate these Terms at any time by closing your account through the Xalista dashboard or by submitting a written request to legal@xalista.com. Upon account closure, your personal data will be deleted in accordance with the retention schedule in our Privacy Policy.
Termination by Us
VantageLogic LLC reserves the right to suspend or terminate your access to the Service, without prior notice, if you breach these Terms or if we are required to do so by law. Upon termination, you may request a refund for completely unused tokens pursuant to Section 04.
Governing Law & Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict of law provisions.
Informal Resolution
Before initiating any formal dispute, you agree to contact VantageLogic LLC by sending a written description of the dispute to legal@xalista.com, including a description of the issue and your proposed resolution. The parties will attempt to resolve the dispute informally for no fewer than thirty (30) days from the date VantageLogic LLC receives the written notice.
Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place exclusively in Rockingham County, New Hampshire.
You waive your right to a jury trial and to participate in any class action or representative proceeding.
Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and VantageLogic LLC with respect to the Service and supersede all prior understandings and agreements.
